UCC Article 2: Sale of goods

Uniform Commercial Code disputes arise out of commercial sales that require litigation due to one party's non-compliance with the terms of the contract. Disputes may involve receipt of goods, quality of goods, records of sale, remedial promises of sellers to repair or replace goods, conformance of goods to contract specifications, or any lack of good faith performance under the terms of the purchase contract.

Under the Uniform Commercial Code, losses may be a primary or secondary result of the breach of contract. Goods delivered may not be suitable for resale, or manufacturing equipment purchased to increase a business's production may be defective, leading to a claim for interruption of production, lost production, and lost sales.
